Salesforce pays $5.66 billion for Braze, and pays up gladly
The offer is $47.50 a share in cash, a 58 percent premium that sent Braze stock up 51.7 percent in a day. It still sits below the $65 a share Braze fetched at its 2021 listing, which tells you plenty about who needed this deal more.

Five point six six billion dollars is a lot to pay for a company most people have never heard of, and Salesforce did not hesitate. On Tuesday it agreed to buy Braze, the New York software firm that watches what customers do in real time and fires back the right message across apps, email, texts and WhatsApp. The price is $47.50 a share in cash, a premium of about 58 percent on Monday's close of $30.04, and Braze shareholders responded the way shareholders do: the stock jumped 51.7 percent on Tuesday to close at $45.57, on volume of 64.6 million shares, while Salesforce itself closed essentially flat at $242.44.
The logic is not hard to follow once you look at what Braze actually holds. It serves about 2,770 customers, names like Canva, Dairy Queen and Equinox among them, and its platform powers trillions of messages and journey actions a year. Salesforce plans to wire that straight into Marketing Cloud, Data 360, Customer 360 and Agentforce, its AI agent platform. As Salesforce's Patrick Stokes put it, Braze was built to turn live customer behavior into personalized engagement at scale. In plain terms, Salesforce has the customer records and the AI ambitions, and Braze has the split second timing that decides whether a message lands as service or as spam.
There is a catch hiding in the celebration, and it is the number $65. That is what a Braze share cost when the company listed in 2021. A 58 percent premium that still lands more than a quarter below the listing price is really two stories at once: Salesforce paying up in a hurry, and a 2021 vintage software company being taken out at a discount to its own debut. The deal also has a long fuse. It needs regulatory clearance and a Braze shareholder vote, and it is not expected to close until Salesforce's fiscal 2028. Salesforce says its fiscal 2027 outlook does not change.
Our call is that this deal closes, and that the argument about the price will be settled by a question nobody asked on Tuesday: whether Braze's customers stay once the product lives inside a suite that also sells them everything else. Salesforce did not buy revenue, it bought reflexes, the ability to act on a customer's behaviour in the moment it happens, which is the one thing its AI marketing pitch cannot fake. If Agentforce agents are going to sell as well as answer, they need exactly those reflexes. Expect the integration to be sold hard at every Salesforce event from here on, and expect rivals in marketing software to be priced for takeover by Christmas, because a buyer this size paying a premium this public just reset what the whole shelf is worth.
